By accessing or using the AscendenceAI website and services, you agree to be bound by these Terms of Service. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

AscendenceAI provides enterprise AI orchestration and governance software, including the Cortena platform. Our services are designed for deployment on customer-managed infrastructure. Access to specific features may require a separate enterprise license agreement.

Use of the Cortena platform and associated tools is governed by a separate Enterprise License Agreement (ELA) executed between AscendenceAI and the customer organization. The ELA takes precedence over these general terms for all matters relating to platform usage, data handling, and service-level commitments.

You agree to use our services in compliance with all applicable laws and regulations. You will not attempt to reverse-engineer, decompile, or extract source code from our software. You will not use our services to develop competing products or for any purpose that violates the rights of third parties.

All intellectual property rights in the AscendenceAI platform, Cortena software, documentation, and associated materials remain the exclusive property of AscendenceAI. Your enterprise license grants usage rights only — not ownership of the underlying technology. Your data remains your property at all times. AscendenceAI claims no ownership or rights over data processed through the Cortena platform on your infrastructure.

To the maximum extent permitted by law, AscendenceAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability under these terms shall not exceed the fees paid by you in the twelve months preceding the claim.

Our website and informational content are provided "as is" without warranties of any kind. Enterprise platform warranties, uptime guarantees, and support commitments are defined exclusively in your Enterprise License Agreement.

These terms are governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through binding arbitration, unless otherwise specified in your Enterprise License Agreement.

We reserve the right to modify these terms at any time. Material changes will be communicated via our website. Continued use of our services after changes constitutes acceptance of the updated terms.
